These Terms of Service ("Terms") govern your access to and use of Zombie Brains ("Service"), operated by OmniAlly ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Zombie Brains is a persistent structured memory layer for AI assistants, accessible via the Model Context Protocol (MCP) and REST API. The Service stores, organizes, retrieves, and consolidates information ("Memories") that you explicitly instruct your AI assistant to save. The Service provides tools for memory storage, retrieval, knowledge management, behavioral skills configuration, training data compilation, and team collaboration.

Zombie Brains does not run AI inference. Your AI assistant (Claude, ChatGPT, Cursor, Codex, or any compatible client) performs all reasoning. We provide structured storage, intelligent retrieval, and integration infrastructure.

2. Eligibility and Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By creating an account, you represent that you meet this requirement.

You authenticate via third-party identity providers (Google, GitHub, Microsoft) through OAuth. You are responsible for maintaining the security of your authentication credentials and API keys. You must notify us immediately at support@zombie.codes if you become aware of unauthorized access to your account.

You are responsible for all activity that occurs under your account, including activity by team members you invite to shared brains.

3. Your Content

3.1 Ownership

You own your content. All Memories, documents, training data, skills, and other content you store in the Service ("Your Content") remain your property. We claim no ownership over Your Content.

3.2 License to Provide the Service

By storing content in the Service, you grant us a limited, non-exclusive, worldwide license to host, store, process, retrieve, transmit, and display Your Content solely for the purpose of providing and improving the Service. This license includes the right to generate vector embeddings of Your Content for semantic search, run consolidation processes (duplicate detection, activation decay, knowledge graph maintenance), and deliver Your Content to your AI assistant when requested via our tools.

This license terminates when you delete Your Content or your account, subject to reasonable backup retention periods (up to 30 days).

3.3 Training Data You Generate

The Service may compile training data pairs from your Memories for the purpose of fine-tuning AI models. This training data is derived from Your Content and remains your property. We do not use Your Content or your training data to train models for other customers or for our own general-purpose models. Training data compilation is a service we provide to you, not a data extraction for our benefit.

3.4 Aggregated and Anonymized Data

We may use aggregated, anonymized, and de-identified data derived from your use of the Service for the purpose of improving the Service, conducting research, and generating benchmarks. This data will not identify you or any individual user and cannot be used to reconstruct Your Content.

5. Service Tiers and Payment

5.1 Free Tier

The Service offers a free tier with limited capacity (memories, brains, API calls, and storage). Free tier limits are described on our documentation page and may change from time to time. We reserve the right to modify free tier limits with 30 days' notice.

5.2 Paid Tiers

Paid tiers (Pro, Business, Enterprise) provide increased capacity and additional features. Paid subscriptions are billed monthly via Stripe. Prices are listed on our website and may be updated with 30 days' advance notice to active subscribers.

5.3 Billing and Cancellation

Paid subscriptions renew automatically each billing cycle. You may cancel at any time through the Stripe billing portal. Cancellation takes effect at the end of the current billing period — you retain access to paid features until then. We do not provide refunds for partial billing periods, except where required by law.

5.4 Business Tier Seat-Based Billing

Business tier subscriptions are billed per seat. Adding seats increases your billing proportionally. Removing seats takes effect at the next billing cycle. Usage limits (memories, storage, API calls) scale linearly with the number of seats purchased.

6. Team Brains and Shared Access

The Service allows multiple users to contribute to shared brains ("Team Brains"). When you store content in a Team Brain, other members of that brain can access it according to their permission level (viewer, editor, admin). You are responsible for ensuring that content you store in a Team Brain is appropriate for all members to access.

When a member is removed from a Team Brain, their previously stored Memories remain in the brain with attribution. Memories are not deleted when a contributor departs — this is by design to preserve institutional knowledge.

Brain owners and admins are responsible for managing membership and access levels within their Team Brains.

7. API and Integration Usage

The Service provides MCP and REST API access. You agree to:

We may throttle or suspend API access for accounts that consistently exceed their tier limits or exhibit abusive usage patterns. We will make reasonable efforts to notify you before taking such action.

8. Third-Party Integrations

The Service may integrate with third-party tools and services (e.g., Gmail, Slack, Fathom, GitHub) through connectors. When you enable a connector, you authorize the Service to receive data from that third-party service on your behalf. Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

9. Intellectual Property

The Service, including its software, design, architecture, documentation, branding, and all associated intellectual property, is owned by OmniAlly and protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks, service marks, logos, or brand elements without our prior written consent.

The Zombie Brains memory architecture, consolidation engine, knowledge graph, training data compilation pipeline, and self-tuning intelligence systems are proprietary technology. Access to the Service does not constitute a license to the underlying technology.

10. Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.

Support is provided via support@zombie.codes. Response times vary by tier. Enterprise customers receive dedicated support as defined in their service agreement.

11. Data Security

We implement commercially reasonable security measures to protect Your Content, including encryption in transit (TLS), database isolation per brain, and hosting on SOC 2 Type II certified infrastructure. However, no system is completely secure. You acknowledge that you store content at your own risk and should not store sensitive credentials or personally identifiable information of third parties without appropriate safeguards.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from using the Service will be accurate, reliable, or complete; (d) any errors in the Service will be corrected; or (e) your AI assistant will use the Service's tools correctly or produce accurate output based on stored Memories.

You acknowledge that the Service provides tools to AI assistants, and the behavior of those AI assistants is outside our control. We are not responsible for how your AI assistant interprets, presents, or acts on Memories retrieved from the Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any rights of a third party.

15. Termination

15.1 By You

You may stop using the Service at any time. To delete your account and all associated data, email privacy@zombie.codes. We will process account deletion within 30 days.

15.2 By Us

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or if required by law. For violations that do not pose an immediate risk to the Service or other users, we will make reasonable efforts to provide 30 days' notice before termination. For severe violations (abuse, security threats, illegal activity), we may terminate immediately without notice.

15.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain Your Content for 30 days following termination to allow you to request a data export. After this period, Your Content may be permanently deleted. Provisions that by their nature should survive termination (including Sections 3.1, 12, 13, 14, and 16) will survive.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in English and the arbitral award shall be final and binding.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

17. Modifications to Terms

We may modify these Terms from time to time. We will provide notice of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to revised Terms, you must stop using the Service before they take effect.
